<DIV> </DIV>
<DIV>Tim is first and foremost a businessman. He a good guy and he'll certainly help anyone out, but he's not going to lose money doing it (and even make money if he can) and I would never expect him to lose money. This deal can be a win/win if we can nail down the money part.</DIV>
<DIV> </DIV>
<DIV>The way this latest proposal appears to work (and please correct me if I'm wrong on this) is we pay off the $18k loan, pay for the $20k refirbs and then make payments to Tim/EE on any difference in equity. Tim will make some money on this deal without being the bank(which I don't have a problem with), but we'd have to come with a big chunk of equity to pay him. I don't see that happening without a loan - otherwise we're just buying it straight out. Steve is right. That would drive away members instantly, and become a complicated equity share system. We would be stuck between a club and co-ownership.</DIV>
<DIV> </DIV>
<DIV>I don't know the credit situation between Tim and EE. But, if we, the flying club, take out a loan with AOPA and Tim gives a personal guarantee, is that held as a liablity for him against his credit with Eagle East? The loan would actually belong to the club, but Tim would only be backing the club - I don't know this answer.</DIV>
<DIV> </DIV>
<DIV>The other, more obvious option, is for us to have complete confidence that we can make this work and put our own personal guaratees on it (Tim and Sean included).</DIV>
<DIV> </DIV>
<DIV>I'm going to go enjoy the nice weather today. Have a good Easter..</DIV>

I believe that a substantial up-front cost would drive away membership (I know I have my limits), and would require a more complicated equity share system. I am speculating that Eagle East’s ability to extend financing will be very limited. If Eagle East is in fact unable to provide the financing we require, then it seems that the only way to get this club off the ground would be for Eagle East to put their name on a bank loan. Comments ????<BR><BR>Maybe we need to talk with a bank. Depending on the exact liability<BR>involved, I would probably be ok with signing for a loan. (It seems<BR>that BoA requires insurance on the loan itself, but I'm not sure who<BR>is liable first, and that makes a big difference.)<BR><BR>-- <BR>James Carlson 42.703N 71.076W <carlsonj@workingcode.com><BR>_______________________________________________<BR>eefc-core mailing
